End User License Agreement

Effective Date: May 26, 2025

 

This End User License Agreement ("Agreement") establishes a mutual agreement between you ("you," "member," or "user") and Neptune FCN LLC ("Neptune," "we," "us," or "our") regarding your use of the Neptune mobile application ("App") and related services ("Services").

Neptune is intended for individuals 18 years of age or older. By accessing or using the Neptune FCN app and its services, you confirm  that you are at least 18 years old.

By downloading, accessing, or using the App through Apple App Store, Google Play, or any other distribution platform, you agree to this Agreement and to Neptune’s Terms and Conditions, Privacy Policy, and Acceptable Use Policy. If you do not agree to these terms, do not install, use, or access the App.

 

1. License Grant

Neptune grants you a limited, non-exclusive, non-transferable, revocable license to install and use one copy of the App on a personal device you own or control, solely for your personal, lawful, and non-commercial use, in accordance with this Agreement and Neptune’s policies.

 

2. Community Participation

Your use of Neptune’s network features is subject to our How We Engage Together, Network Guidelines (accessed in the Neptune FCN app). Participation is voluntary but must reflect the respectful, values-aligned intent of the Neptune community.

 

3. Eligibility and Age Restriction

The App is intended for use by individuals who are at least 18 years of age. By installing or using the App, you confirm that you are 18 years or older. If you are under 18, you may not use or access the App. We do not knowingly collect or solicit information from individuals under 18. If we discover that we have collected personal data from someone under the age of 18, we will delete it promptly.

 

4. Restrictions

You may not:

  • Copy, modify, or create derivative works of the App
     

  • Reverse engineer, decompile, or disassemble the App, except as allowed by law
     

  • Rent, lease, sell, sublicense, or otherwise transfer the App to any third party
     

  • Use the App in any way that is unlawful or inconsistent with Neptune’s mission
     

  • Attempt to gain unauthorized access to any part of the App, Services, or related systems
     

All rights not expressly granted are reserved by Neptune FCN LLC. The App, including its content, features, code, and intellectual property, remains the exclusive property of Neptune or its licensors.

 

4. Ownership

The App is owned and operated by Neptune FCN LLC. All rights not expressly granted to you under this Agreement are reserved by Neptune. The App and its content, including all intellectual property, remain the exclusive property of Neptune or its licensors.

 

5. Updates and Modifications

Neptune may issue updates, upgrades, or enhancements to the App. Features may be added, modified, or removed as part of ongoing updates. These may be installed automatically or may require your installation. Continued use of the App after such updates constitutes acceptance of the modified App.

 

6. Privacy and Data Use

Your use of the App is subject to our Privacy Policy, which explains how we collect, use, and protect your personal data. By using the App, you acknowledge that your personal information will be handled in accordance with our Privacy Policy.

 

7. Termination

This Agreement is effective until terminated. You may terminate this Agreement at any time by deleting the App from your device. Neptune may terminate this Agreement and your access to the App at any time if you violate any term of this Agreement or other governing policies. Upon termination, you must uninstall and delete all copies of the App.

 

8. Disclaimers

Your use of the App is at your sole risk. The App is provided “as-is” without warranties of any kind. Neptune disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free use of the App.

 

9. Limitation of Liability

To the maximum extent permitted by law, Neptune shall not be liable for any indirect, incidental, or consequential damages arising from your use or inability to use the App. This includes, but is not limited to, damages for loss of data, business interruption, or personal injury.

 

10. Governing Law

This Agreement is governed by the laws of the State of New Mexico, USA, without regard to conflict of law principles. Any legal action shall be filed exclusively in the state or federal courts located in New Mexico, USA.

 

11. Entire Agreement

This Agreement, together with Neptune’s Terms and Conditions, Privacy Policy, Acceptable Use Policy and How We Engage Together, Network Guidelines (accessed in the Neptune FCN app), constitutes the entire agreement between you and Neptune regarding your use of the App and supersedes all prior agreements, communications, and understandings.
